1. Definitions

1.1. Your Carefree Wedding, located in Best, registered with the Dutch Chamber of Commerce under number 96775858, is referred to in these general terms and conditions as Your Carefree Wedding.

1.2. The other party is referred to as the client.

1.3. The agreement refers to the contract based on which Your Carefree Wedding performs work for the client in exchange for payment, with these general terms and conditions having been declared applicable.

1.4. These general terms and conditions apply to all offers made by Your Carefree Wedding, accepted assignments, additional assignments, follow-up assignments, and other activities.

2. Applicability of the General Terms and Conditions

2.1. These conditions apply to all quotations, invoices, services, agreements, and deliveries of services and products by or on behalf of Your Carefree Wedding to which these terms have been declared applicable, unless explicitly and in writing agreed otherwise.

2.2. These conditions also apply to actions of third parties engaged by Your Carefree Wedding in the context of the assignment, such as employees.

2.3. The most recently sent version of these general terms and conditions applies.

2.4. The applicability of the client's general terms and conditions is expressly rejected.

2.5. If any clause, which forms a part of these general conditions or the agreement, is invalid or declared void, then the rest of this agreement shall continue to exist.

3. Quotation

3.1. If no acceptance period is stated in the quotation, the offer expires after 14 calendar days.

3.2. Your Carefree Wedding is not bound by its quotation if the client can reasonably understand that the quotation or part thereof contains an obvious mistake or error.

3.3. Quotations do not automatically apply to follow-up assignments.

3.4. If no agreement is concluded, Your Carefree Wedding is entitled to charge the costs incurred, including but not limited to research and preparation costs prior to the quotation.

4. Rates and Payments

4.1. An introductory meeting is free of charge and without obligation.

4.2. Upon agreement, the contract is entered into for a fixed period unless the nature of the agreement indicates otherwise or unless otherwise agreed in writing.

4.3. Each quotation is customized for the specific project. Any additional costs, such as travel expenses or extra work due to changes in the agreement, will be invoiced afterwards. The client is required to pay third-party invoices directly to those third parties.

4.4. When Your Carefree Wedding acts as Wedding Day Coordinator, the client provides healthy meals. If the wedding or event is more than one hour’s drive from the residence of Your Carefree Wedding, the client arranges a hotel stay.

4.5. Transportation costs incurred in the execution of the agreement within the Netherlands will be charged on the final invoice at €0.35 per kilometer driven.

4.6. Upon acceptance of the quotation, the obligation to pay arises. Your Carefree Wedding requires a 50% down payment. The invoice for this first payment will be sent after signing the order confirmation. The wedding date is only definitively reserved once the down payment has been paid.

4.7. The rates agreed upon at the start of the agreement are based on the pricing level at that time. Your Carefree Wedding reserves the right to adjust the fees when circumstances require.

4.8. Invoices must be paid within 14 calendar days from the invoice date, unless otherwise agreed in writing, another payment term is stated on the invoice, or the work must commence earlier.

4.9. If the client fails to make timely payment, the client is in default by operation of law and statutory interest is due. The interest on the due amount will be calculated from the time the client is in default until full payment is received.

4.10. If the client fails to fulfill their obligations, all reasonable extrajudicial costs for collection are borne by the client.

4.11. In the event of liquidation, bankruptcy, attachment, or suspension of payments by the client, Your Carefree Wedding's claims become immediately due.

5. Provision of Information

5.1. The client shall provide all information relevant to the execution of the assignment to Your Carefree Wedding in a timely manner.

5.2. The client guarantees the accuracy, completeness, and reliability of the information provided, including that from third parties. Your Carefree Wedding will treat this information confidentially.

5.3. If the client brings in and contracts suppliers themselves, all agreements must be finalized in writing at least 14 days before the wedding. If this is not the case or if significant changes occur, Your Carefree Wedding may charge for additional work.

5.4. The client indemnifies Your Carefree Wedding against any damage resulting from non-compliance with the stipulations in this article.

5.5. If the client fails to provide the required information on time, causing delays, the additional costs incurred shall be borne by the client.

6. Execution of the agreement

6.1. Your Carefree Wedding will perform the assignment to the best of its knowledge and ability; this constitutes a best-efforts obligation. No guarantees are given for achieving the client’s intended result. Outcomes also depend on factors and individuals involved in the wedding or event.

7. Modification of the agreement

7.1. If it becomes necessary during execution to change or supplement the work, parties will adjust the agreement in consultation.

7.2. If changes are agreed upon, the completion time may be affected. Your Carefree Wedding will inform the client as soon as possible.

7.3. Your Carefree Wedding may terminate the agreement if new facts or circumstances arise that disturb the relationship of trust. In such a case, no compensation by Your Carefree Wedding is owed.

7.4. Cancellation by the client must be made in writing. If cancelled within 14 days of entering the agreement, 25% of the quoted amount will be charged; between 12 weeks and 1 week before the wedding or event, 50%; and within 1 week, 75% is due.

7.5. If the assignment is rescheduled, Your Carefree Wedding is entitled to charge the associated costs to the client.

7.6. In addition to the above cancellation fees, all (cancellation) costs for the venue and other third parties will be passed on to the client. The cancellation policies of those third parties apply.

8. Force Majeur

8.1. In cases of force majeure, parties are entitled to interrupt or reschedule the agreement. Force majeure includes, but is not limited to, illness, accidents, fire, or government measures beyond reasonable control.

8.2. If such a situation arises or the agreement cannot be continued temporarily, obligations are suspended as long as the situation persists. Parties will seek a solution together. If no solution is found, both parties may dissolve the agreement without undoing previous services. Costs and hours worked remain payable.

8.3. In business agreements, obligations remain in force and the assignment shall be rescheduled.

9. Liability

9.1. Your Carefree Wedding is not liable for damage resulting from this agreement, unless caused intentionally or by gross negligence.

9.2. Your Carefree Wedding is not liable for damage caused by reliance on incorrect or incomplete information provided by or on behalf of the client.

9.3. The client is ultimately responsible for checking the quality of delivered services and products.

9.4. The client remains solely responsible for applying knowledge or actions acquired during the agreement.

9.5. Your Carefree Wedding is not liable for loss, theft, or damage to personal property of the client during an on-location agreement.

9.6. Your Carefree Wedding is not responsible for actions, including delays, caused by third parties or suppliers, even if recommended by Your Carefree Wedding.

9.7. Your Carefree Wedding is not responsible for flaws in the execution of the agreement due to factors beyond its control, such as location fixed backgrounds, distracting elements, or lighting conditions.

9.8. If Your Carefree Wedding is liable, compensation is limited to the amount covered by liability insurance, or the amount invoiced to the client in the three months preceding the damage, unless fairness and equity dictate otherwise.

9.9. The client indemnifies Your Carefree Wedding against all third-party claims related to the services and products provided.

10. Complaints

10.1. The client must report complaints regarding quotations, invoices, or services/content in writing and with motivation as soon as possible, but no later than 14 calendar days after the issue arose. A reasonable period must be given to find an appropriate solution.

10.2. Filing a complaint does not suspend the payment obligation.

11. Dispute Resolution

11.1. Dutch law applies to these general terms and conditions.

11.2. Parties will only appeal to the courts after making every effort to resolve the dispute amicably.

11.3. Disputes shall be settled in the district where Your Carefree Wedding is located, unless otherwise required by law.

11.4. Contrary to statutory limitation periods, all claims and defenses against Your Carefree Wedding and third parties involved expire after 12 months.

12. Copyright

12.1. All intellectual property rights regarding services, proposals, quotations, documents, images, texts, photos, mood boards, and other materials provided by Your Carefree Wedding belong to Your Carefree Wedding, unless explicitly agreed otherwise in writing.

12.2. The client is not permitted to copy, reuse, or distribute any materials in whole or in part.
